Terms of Service

Effective Date: March 1, 2022

Welcome to HomeLogix! These Terms of Service ("Terms") govern your access to and use of the HomeLogix website, mobile application, and all related services (collectively, the "Platform") provided by HomeLogix, LLC ("HomeLogix," "we," "us," or "our"). By creating an account, accessing, or using the Platform in any manner, you ("User" or "you") agree to be bound by these Terms. If you do not agree, please do not use the Platform.

We reserve the right to update or modify these Terms at any time. We will provide reasonable notice of material changes, but your continued use of the Platform after any modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

1. About the Platform

HomeLogix is a residential property data aggregation platform. The Platform collects, organizes, and presents historical and current information about residential properties, including but not limited to: appliance and home system installation records, service and maintenance history, contractor information, incident and insurance claim records, permit data, and related residential data (collectively, "Property Data"). HomeLogix serves homeowners, home buyers, sellers, real estate professionals, contractors, lenders, insurers, retailers, manufacturers, and other users (collectively, "Users").

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms to use the Platform. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To access certain features of the Platform, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information;
  • Keep your password secure and confidential;
  • Notify us immediately at legal@HomeLogix.ai if you suspect unauthorized access to your account; and
  • Accept responsibility for all activities that occur under your account.

HomeLogix reserves the right to suspend or terminate accounts at our discretion, including for inactivity, suspected fraud, or violation of these Terms.

4. Platform Access and Licenses

Subject to your compliance with these Terms, HomeLogix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes. This license does not include the right to:

  • Resell, sublicense, or commercially exploit any portion of the Platform or its data without our express written consent;
  • Use automated tools, bots, scrapers, or data mining techniques on the Platform;
  • Reverse engineer, decompile, or disassemble any portion of the Platform;
  • Systematically download or aggregate data from the Platform for use outside the Platform; or
  • Use the Platform in any manner that could damage, disable, overburden, or impair our systems.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice, and without liability to you.

5. Data Submission and User Contributions

The Platform allows Users and data contributors (including homeowners, contractors, service providers, retailers, and institutional partners) to submit Property Data. By submitting any data, content, images, documents, or other materials ("User Content") to the Platform, you:

  • Represent and warrant that you have the right to submit such content and that doing so does not violate any law, regulation, or third-party rights;
  • Grant HomeLogix a worldwide, royalty-free, irrevocable, perpetual, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, display, and create derivative works from your User Content in connection with operating, improving, marketing, and expanding the Platform and our business;
  • Acknowledge that HomeLogix may aggregate, anonymize, and commercialize User Content as part of our data products and services; and
  • Understand that you retain ownership of your original User Content subject to the license granted herein.

HomeLogix does not guarantee the accuracy, completeness, or reliability of any User Content or Property Data and expressly disclaims responsibility for errors, omissions, or inaccuracies in data submitted by third parties.

6. Purchased Reports and Paid Services

HomeLogix offers property history reports and other data products for purchase ("Reports"). By purchasing a Report or subscribing to a paid plan:

  • You agree to pay all applicable fees, which are non-refundable except as required by law or expressly stated otherwise at the time of purchase;
  • You acknowledge that Reports are provided for informational purposes only and do not constitute legal, financial, engineering, or professional advice;
  • You understand that data contained in Reports may be incomplete, outdated, or subject to errors beyond our control; and
  • You agree not to resell or redistribute purchased Reports without our prior written consent.

HomeLogix reserves the right to change pricing and product offerings at any time. Subscriptions will automatically renew unless canceled prior to the renewal date in accordance with your account settings.

7. Accuracy of Data and No Warranty of Completeness

HomeLogix aggregates data from a wide variety of sources, including government records, licensed data providers, contractors, homeowners, and institutional partners. While we strive to provide accurate and useful information, we make no representation or warranty that any Property Data or Report is complete, accurate, current, or error-free. Users should independently verify important information before making significant decisions based on Platform data. HomeLogix is not liable for decisions made in reliance on Platform data.

8. Prohibited Conduct

You agree not to use the Platform to:

  • Submit false, misleading, or fraudulent data or information;
  • Harass, defame, or harm any individual or entity;
  • Violate any applicable federal, state, or local law or regulation;
  • Infringe the intellectual property or privacy rights of any third party;
  • Attempt to gain unauthorized access to any portion of the Platform or its systems;
  • Use another user's account without permission; or
  • Engage in any conduct that, in HomeLogix's sole judgment, restricts or inhibits any other user from using or enjoying the Platform.

9. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to software, databases, text, graphics, logos, icons, images, and the selection and arrangement thereof — are the exclusive property of HomeLogix or its licensors and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws. The HomeLogix name, logo, and all related marks are trademarks of HomeLogix, LLC Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without our prior written consent.

10. Third-Party Links and Integrations

The Platform may contain links to third-party websites, platforms, and services (such as contractor directories, retailer portals, or partner platforms). These links are provided for convenience only. HomeLogix does not endorse, control, or assume responsibility for any third-party content, products, or services. Your interactions with third parties are solely between you and those parties, and you access them at your own risk.

11. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, REPORTS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. HOMELOGIX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOMELOGIX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, ANY CONTENT OR REPORTS, OR THESE TERMS. IN NO EVENT SHALL HOMELOGIX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO HOMELOGIX IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

13. Indemnification

You agree to defend, indemnify, and hold harmless HomeLogix and its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property or privacy right.

14. Governing Law and Dispute Resolution

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Cleveland, Ohio, and you hereby consent to personal jurisdiction and venue therein.

PLEASE READ THIS SECTION CAREFULLY. TO THE EXTENT PERMITTED BY LAW, YOU AND HOMELOGIX AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES, EXCEPT THAT EITHER PARTY MAY SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN A COURT OF COMPETENT JURISDICTION TO PREVENT ACTUAL OR THREATENED INFRINGEMENT, MISAPPROPRIATION, OR VIOLATION OF INTELLECTUAL PROPERTY RIGHTS. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Termination

HomeLogix may suspend or terminate your access to the Platform at any time, for any reason or no reason, with or without notice. Upon termination, your right to use the Platform will immediately cease. Sections 5 (Data Submission), 9 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), and 14 (Governing Law) shall survive termination.

16. General Provisions

These Terms constitute the entire agreement between you and HomeLogix regarding your use of the Platform and supersede all prior agreements. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right. You may not assign your rights or obligations under these Terms without our prior written consent. HomeLogix may freely assign its rights and obligations.
